KBC Group NV (KBCSY) Q4 2025 Earnings Call Transcript

KBC reported fourth quarter net income of 1 billion euros ($1.19 billion), narrowly beating the 973 million euros analysts had expected in a consensus compiled by the company.

KBC Group today announced that it will award an extraordinary collective bonus to all employees working within the Group's core banking and insurance activities across its key markets. With this decision, KBC acknowledges the strong performance in 2025 and the central role employees across all markets made in achieving it.

KBC Group today announces the successful completion of its acquisition of a 98.45% stake in 365.bank from J&T Finance Group. The deal originally announced on 15 May 2025, received approval from all relevant authorities and has now officially closed, enabling KBC to combine 365.bank with its Slovak operations anchored by ČSOB. The completion marks a significant milestone in KBC's long ‑ term growth strategy in Slovakia - a core market for the group - and reinforces its ambition to remain a leading financial player in Central and Eastern Europe. The total consideration paid for the 98.45% stake in 365.bank is EUR 708 million, reflecting closing adjustments. The acquisition will have a limited impact on KBC's capital position (approximately -50 basis points on KBC's unfloored fully loaded CET-1 ratio) which remains very solid keeping KBC's CET1 ratio well above regulatory minimum capital requirements.

KBC has been informed by the European Central Bank (ECB) of its new minimum capital requirements. Following the Supervisory Review and Evaluation Process (SREP) performed for 202 5 , the fully loaded overall CET1 requirement for KBC Group (under the Danish Compromise) has been lowered from 10.88% as of 4Q24 (SREP 2024) to 10.8 5 % as of 3Q25 (SREP 2025). The new requirement consists of a Pillar 1 Requirement of 4.50%, a Pillar 2 Requirement (P2R) of 1.10%1, a capital conservation buffer of 2.50%, the O-SII (other systemically important institutions) capital buffer of 1.50% and includes all announced decisions by local competent authorities on future changes of countercyclical capital buffers (1.15%) and the sectorial systemic risk buffer (0.10%).

KBC Group enjoys a healthy mix of net interest income and commission income through its operations in Belgium, the Czech Republic, and Eastern Europe. The group's Q2 2025 results benefited from an improved performance in the company's core Belgian market. Looking ahead, stronger GDP growth in Central and Eastern Europe should be the main driver of EPS growth.

Referring to KBC Group's earlier and repeated statements about its strategy, we remain committed to pursuing financially sound and sustainable growth. We are continuously monitoring the market to identify opportunities that strengthen our unique digital-first bank-insurance group. Currently, we are only studying a potential acquisition of the State-backed Belgian Insurance company, Ethias NV.

KBC Group NV is a well-valued European bank benefiting from a supportive funding mix and resilient net interest income despite lower rates.
